Terms and Conditions TVM System Service
1. Parties
- TVM party: TVM USA Inc, 6192 Coastal Highway Lewes, Delaware 19958 United States (FE-ID 82-4833460), hereinafter referred to as TVM.
- Customer party: Signing client, hereinafter referred to as Customer.
- Product: Hereinafter referred to as the System, containing TVM screens, media players and other equipment and installation.
2. Customer commitment
- Under no circumstances may the installed system be moved from the originally agreed location without TVM’s written approval.
- In the event of sale or bankruptcy of the customer, all hardware must be returned to TVM.
- Under no circumstances may the system settings be changed, supplemented or replaced by the customer. In the event of any malfunction in the system, the Customer must notify TVM. This must be done within 24 hours of the malfunction being noticed
- TVM screens are operated with the TVM Play system. It is forbidden to connect any external devices to the TVM screens and Media players.
- The TVM system must always be active during the Customer's official opening hours unless otherwise agreed between the parties.
- In the event of any malfunction in the system, the Customer must notify TVM. This must be done within 24 hours of the malfunction being noticed
- TVM screens, media players and any other installed hardware & software are solely owned by TVM unless an alternative contract has been reached between the two parties.
- TVM reserves the right to control up to 20% percent of the total screen time and the right to branding of the mandatory sports feed.
3. Customer commitment
This contract shall take effect from the day the Product has been delivered. The contract period is 24 months and is automatically extended for 12 months if the customer has not left written notice during the period.
4. Test period
From the date that the Product has been delivered, the customer is entitled to a 60 day test period during which they have the opportunity to terminate this contract by written notice free of charge.
5. Termination or contract Expiration of contract
- . Customer may terminate this agreement with 60 Day written notice, however no earlier than 60 Days prior to the end of contract period as per section 3.1 in this agreement.
- TVM has the right to terminate this contract should the customer be in breach of their commitment as per section 2 in this agreement.
- In the event of the non-return of TVM hardware upon termination or contract expiration, the customer will be liable for their TVM screen.
6. Transfer of contract
The Customer can not transfer the rights or obligations under this contract without first obtaining TVM’s written approval.
